Soft Serv, LLC, a Utah limited liability company (“Provider”), offers software and services that use artificial intelligence and machine learning tools, models, and algorithms (collectively, “AI”). Before using the Provider’s software, you must review and agree to the terms below regarding how the Provider may use data you provide or that is generated through your use of the Provider’s software (“Student Data”). By accepting this consent (this “Consent”) you agree to the Provider’s use of your Student Data for training and improving its AI, services, and software subject to the following terms and conditions.
1. Scope of Consent
You agree that the Provider may use AI to process your Student Data in order to provide its software and services to its customers, to assist the Provider in training its AI internally within its organization, and to improve its AI and its services and software generally. The Provider may use AI to generate outputs for its customers and may combine and aggregate such AI outputs with other customers’ or individuals’ data. You will continue to own your original Student Data. The Provider will own the AI-generated outputs, as well as all modifications and improvements to the Provider’s software, AI, products and services. Any use of your Student Data to train or improve the Provider’s internal AI tools will be limited to de-identified data from which personal identifiers have been removed and will not include raw audio or video recordings. Where a written agreement between the Provider and you or your school or institution addresses ownership of data or AI outputs, that agreement controls in the event of any conflict with this Consent.
2. Security and Confidentiality of Data
The Provider will maintain commercially reasonable privacy and security safeguards to protect your Student Data used in AI training, including protections against unauthorized access, data leakage, and other threats to your information.
3. Provider Obligations
The Provider will use your Student Data only for the purposes described in this Consent. Soft Serv may provide Customer Data to its third-party AI service provider in order to process such data, but the AI service provider is permitted to access and use such data only on an ephemeral basis; i.e., only for as long as is needed to run the specific process being requested. Soft Serv will not permit its AI service providers to retain data for any longer period, or to use Customer Data for training its AI large language models. AI providers will also be required to enter into an agreement with Soft Serv to protect Customer Data consistent with the terms of this Consent prior to being given access to any Customer Data. The Provider commits to using AI in an ethical manner and maintains policies and practices designed to ensure the lawful and fair use of AI and to reduce the risk of discrimination, bias, or unfair treatment of individuals.
4. Withdrawal of Consent
You may withdraw this Consent at any time by providing five (5) business days’ written notice to the Provider using the contact information below. Once the notice period ends, the Provider will delete your Student Data from its AI training databases and will stop using your Student Data for AI training going forward. However, the Provider will retain ownership of and the right to continue using the results of any prior AI training that used your Student Data, including any modifications and improvements to its AI and software.
5. Contact Information for Withdrawal or Other Requests
You may request additional information about how your Student Data is being used, request deletion of your Student Data from the Provider’s AI databases, or withdraw this Consent by contacting the Provider using the following method:

The Provider agrees to respond promptly to requests sent using the method described above.
6. Acknowledgment and Consent
THIS CONSENT TAKES EFFECT AT THE EARLIEST OF WHEN YOU CLICK THE “I ACCEPT” (OR SIMILAR) BUTTON PRESENTED WHEN YOU CREATE AN ACCOUNT OR ACCESS OR USE THE SERVICES. BY CLICKING SUCH BUTTON OR ACCESSING OR USING THE SERVICES YOU ACKNOWLEDGE THAT YOU HAVE READ AND UNDERSTAND THIS CONSENT DOCUMENT AND AGREE TO ITS TERMS.
